Corporate and Securities

Our Corporate and Securities team focuses on Mergers and Acquisitions work, capital markets and corporate finance transactions, while also handling a broad range of other corporate matters and commercial transactions in a variety of business sectors.

Our specialist Mergers and Acquisitions team helps our clients structure, negotiate and successfully complete complex international and domestic Mergers and Acquisitions transactions, takeovers, strategic business combinations and reorganisation transactions primarily for large and middle cap companies and for unlisted and privately owned-businesses.

Our securities team comprises lawyers with the legal experience, commercial acumen and global resources to structure and implement the most sophisticated transactions our clients require to achieve their strategic goals.  We handle a wide range of transactions relating to ECM, U.S. Securities, High Yield and mainstream DCM, covering the UK and other developed frontier and emerging markets.  We are known for our ability to handle any transaction, no matter how large or small, on any exchange (whether domestic or international).

Bank Finance and Restructuring

Our finance team advises on a broad spectrum of financial transactions and across different sectors, from simple bilateral financings to complex, multi-jurisdictional syndicated  facilities, restructurings and high yield transactions.

We have experience acting for lenders and senior creditors, including banks and other financial institutions, as well as borrowers, debtors and investors, which gives us a practical understanding of the drivers and concerns of each party to a transaction. This in turn enables us to offer pragmatic, constructive advice while demonstrating technical excellence.

Our restructuring lawyers have experience acting on behalf of a multinational corporation experiencing financial difficulties, a lender or creditor in a contentious restructuring as well as private equity or hedge funds looking to take a stake in a stressed or distressed company.

International Tax

We provide comprehensive advice to international clients looking for tax efficient operations, structures and financing. Our practice focuses on tax efficient cross-border planning and implementation for organisations that operate on an international basis, together  with the attendant advice on transfer pricing, double tax treaty interpretation and value-added tax. In addition, we represent clients in tax negotiations, disputes and litigation.

Antitrust and Regulatory

We have an experienced competition law group in London schooled in contentious matters  and regulatory clearances. Our team’s capabilities include: conducting antitrust and self-assessments to help clients identify any current or potential infringements of competition rules; devising compliance programmes to help clients ensure future compliance with competition rules; advising on national and supra-national merger control rules and the effect of competition law on company acquisitions or disposals; assisting with investigations by the OFT, the European Commission and other national or sectorial regulators and representing clients before those bodies; and challenging the restrictive agreements or practices of other entities dominant in the market by submission of complaints to the relevant  competition law investigative bodies.

In addition, the team has a strong regulatory practice, with particular experience in the water industry, regularly advising on utility regulation and other aspects of regulation  applicable to companies active in the UK and Europe. This includes, for example, advising on: public procurement; state aid; the regime for access to information; and regulation of commercial activities.

Real Estate

Our real estate practice is focused on direct and indirect investment in real estate, property investment management, corporate occupiers and development.

Our focus is resolutely private sector and currently rooted in the investment market.  This work generally involves: complex fund, corporate, partnership and tax structuring; multiple jurisdictions; and quality assets. We are also engaged on substantial development projects across the UK.

Environmental and Climate Change

We assist clients with a wide range of environmental, climate change and health and safety-related matters. This work includes environmental claims and prosecutions, advice concerning waste and contaminated land issues, health and safety concerns, asbestos matters and sustainability and climate change issues. We work particularly closely with our M and A practice to advise clients about strategies to avoid, minimise or eliminate environmental risks and liabilities, including those associated with domestic and cross-border acquisitions, disposals and other projects and transactions. In addition, we represent clients from an array of industries in connection with increasingly complex climate change and sustainability issues.

Intellectual Property

Our IP and technology team has wide-ranging experience in the litigation and transactional aspects of all areas of intellectual property and information technology, across a broad spectrum of products and services.  We focus on business needs and dispute avoidance while promoting a commercial approach to unavoidable litigation.

We have experience in all areas of employment and benefits law.  We assist clients in recruiting, retaining and managing valuable human capital throughout the life cycle of the employment relationship, effectively managing the costs and risks associated with changes required to meet business needs.

Dispute Resolution

Our team assists clients in navigating conflicts, whether conducting high-stakes litigation or transnational arbitration, enforcing foreign judgments and arbitral awards, or designing creative procedures and contract provisions to avoid disputes or resolve them efficiently. In addition to contractual and commercial disputes, and tort and fraud claims, we are experienced in product liability matters including large scale group litigation, product recall, regulatory issues and guarantee claims.
